Podcast Guest Consent Agreement
I am looking forward to you sharing your knowledge and expertise as a Guest Expert for my upcoming podcast called The Inspiration Place Podcast (“Event”). The Event is being hosted by Miriam Schulman (“Interview Host”).
Please read this information carefully and let me know if you have any questions before agreeing. By clicking the box below, you agree and consent to the following terms:
1. Guest Expert Expectations, Responsibilities & Services.
I agree to participate as a Guest Expert and provide an Interview for the Event, and I agree to the following expectations, responsibilities and services:
a. Interview. I agree to share my knowledge and expertise with the Interview Host for the Event in an interview.
(1) Title and Topic. I agree that the title of the Interview will be determined by the Interview Host, and approved by me, on or by the date that the Interview is shared publicly. I agree to present the topic and content that was discussed and agreed upon in advance with the Interview Host.
(2) Recording. If the Interview is videotaped and/or recorded by audio recording by the Interview Host, either while delivered live or pre-recorded in advance, I agree that the Interview Host may use my voice and likeness and I agree to such recording.
(3) Interview Materials. I agree to provide and supply Interview slides, handouts and any other materials agreed upon in advance with the Interview Host (“Interview Materials”) by e-mailing them to the Interview Host. I understand that the Interview Host reserves the right to edit the Interview Materials for typos, accuracy and length. I agree that the Interview Materials that I submit are original and that their use will not infringe upon the intellectual property rights of others, including copyrights and trademarks. I understand that I may use and share the information and knowledge used to prepare the Interview Materials in my business and otherwise, now and in the future, without any restriction.
b. Marketing and Promotion. I agree to promote and market the Interview by marketing and promoting the title of the Interview, Event name, time, date, topic and any other information the Interview Host may require through the following:
o E-Newsletter Mentions. I will make at least 1 mention of the Interview and Event in my e-newsletters.
o Social Media Posts. I will post on my social media pages at least 1 time(s).
c. Bio, Title and Headshot. I agree to send by e-mail my bio, title and headshot to the Interview Host.
2. Interview Host’s Responsibilities.
I understand that the Interview Host agrees to organize the logistics for the Interview, including the following responsibilities:
a. Audio/Visual Logistics: I understand that the Interview Host will provide the back-end coordination and production for the Interview, including the Event sales page, Interview logistics, set-up, video/audio recording platform, conference call lines, and will provide the replay links for any video and audio recordings that are shared with the audience.
b. Promotion of Guest Expert. I understand that the Interview Host will promote and market the Interview before and during the Event, including my name, title and headshot and will include my bio, in part or in full. I understand that the Interview Host and will use reasonable efforts to promote, market and encourage attendance of the Event.
c. Replay Link & Recording. If the Interview is recorded, I understand that the Interview Host reserves the right to send out the replay link and recording to the audience for a limited time and/or for payment. I also understand that I will not be provided with a copy or link to the recording.
d. Affiliate Link. If the Interview Host opts to provide an Affiliate Program for the Event, I understand that I will be able to obtain a unique Affiliate Link to use to promote and market the Event and that I will need to agree to additional Affiliate Terms & Conditions.
3. No Compensation.
I agree that I am providing the Interview and Interview Materials at no charge, and I agree not to request any compensation from the Interview Host at any point in the future related to this Interview. In exchange for my Interview, I understand that I receive mutually-beneficial marketing and exposure to the Interview Host’s audience.
4. Cancellation or Rescheduling of the Interview or Event.
I understand that should either of us need to reschedule or cancel the Interview or the Event, our best efforts will be made to provide notification to the other by e-mail at least 7 days prior to the Event, notwithstanding an accident or illness in which case we agree to give as much notice as possible. If the Interview needs to be rescheduled or cancelled, I agree to reschedule the Interview as soon as possible so that it can be delivered and/or pre-recorded before the scheduled air date as part of the Event.
5. Intellectual Property.
I understand and agree to the following:
a. The information, knowledge and subject matter that I share in my Interview as the Guest Expert is, and will remain, solely my intellectual property as the Guest Expert, and I have the right to continued use of this information, knowledge and subject matter without restriction, for personal or business purposes, now and in the future.
b. I grant the Interview Host a limited license to use the Interview Materials that I have provided during my Interview for marketing, promotional and business purposes directly related to the Event, but I, as the Guest Expert, retain all other ownership and other intellectual property rights to the Interview Materials.
c. I agree that my Interview Materials will remain my intellectual property which may not be used by the Interview Host separately outside of the Event without prior my written approval, except as shown in any video or audio recording of the Interview.
d. I may reuse my Interview content and Interview Materials for various uses in the future, but I agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial or personal purposes, any of the Event materials produced by the Interview Host following the Event, other than my own Interview Materials which I created.
e. I agree that the Interview Host may add their logo or Event logo to the Interview Materials for purposes of the Event.
f. I grant to the Interview Host full ownership and intellectual property rights to any video or audio recordings and written transcripts of the Interview or Interview Materials. I understand and agree that the Interview Host may re-purpose, re-sell, re-use any videotape or audio recording indefinitely for compensation, but without compensation to me as the Guest Expert for purposes related to this Event and/or future Event promotions; and in so doing the Interview Host agrees to identify me as the Guest Expert by name and title and agrees not to sell or otherwise use the Interview Materials other than as provided for in this Guest Expert Consent Form.
g. No other intellectual property rights are being provided or implied to me as the Guest Expert other than the rights outlined in this Guest Expert Consent Form.
6. Media Release.
I consent to the participation in, and grant the Interview Host full rights to the use of my name, image, likeness and/or voice in video and/or audio recordings, marketing materials, social media posts, blog posts, e-newsletters, and any other means that contains photos, images, or references to me that is recorded or shared during before, during or after the Event, at the sole and full discretion of the Interview Host. I agree to waive any rights of ownership or copyright in the Event materials created by the Interview Host and grant the Interview Host authorization to use these Event materials indefinitely, recognizing that all such media solely is the property of the Interview Host. I acknowledge that no financial compensation is provided in exchange for waiving these rights.
7. Disclaimer, Assumption of Risk, Personal Responsibility, Release of Claims.
Care has been taken in preparing this Interview; however, the Interview Host cannot be held responsible for any actions, errors or omissions and accepts no liability for any loss or damage related to the Interview or the Event. As the Guest Expert, I take full responsibility for my actions and information before, during and after the Event, assume all of the risks related to the Event, whether or not such risks were created or exacerbated by the Event or Interview Host. I fully and completely release the Interview Host, his/her heirs, executors, administrators and assigns, officers, directors, shareholders, employees, teachers, lecturers, agents, virtual assistants, and any other staff or team members of the Interview Host (collectively, the “Releasees”) from any and all liability, damages, causes of action, allegations, suits, sums of money, claims and demands whatsoever, in law or equity, against the Releasees, that I may have had, now claim to have, or might possibly claim have in the future, arising from my participation in the Interview and Event.
8. Choice of Law, Arbitration and Limited Remedies.
This Consent Form shall be construed according to the laws of the State of New York, where the Interview Host’s business is based. In the event a dispute were to arise between us, either arising from the Interview or the Event, we agree that binding arbitration before a sole arbitrator in accordance with the rules of the American Arbitration Association is the sole legal remedy that may be used. Any judgment rendered by the arbitrator may be entered in any court having proper jurisdiction. The prevailing party shall be entitled to all reasonable attorneys’ fees and all costs necessary to enforce the decision of the arbitrator. As the Guest Expert, I agree to not engage in any conduct or communications, public or private, including on social media, that disparages the Interview, Event, Interview Host and his/her owners, officers, directors, staff or team members, employees, or agents. Where requested by law or arbitration, I understand that I am not prohibited from sharing my thoughts and opinions as a part of the legal process.
9. Independent Contractor Relationship.
I understand that by providing the Interview and Interview Materials, I am not in any way becoming or considered an employee, partner, agent, or joint venturer with the Interview Host for any purpose. I am and will remain an independent contractor in relation to the Interview Host and therefore I shall have no claim against the Interview Host for benefits attributed to employees, including but not limited to compensation, vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.
